Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kewbed platform ("Service"), operated by Kewbed ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

Kewbed provides a cloud-based resource allocation planning tool ("Software as a Service" or "SaaS") that helps organizations plan workforce capacity, track project allocations, and analyze resource availability. The Service is accessed through a web browser at kewbed.com and its subdomains.

2. Accounts and Access

You must provide a valid email address and create an account to use the Service.
You are responsible for maintaining the security of your account credentials.
You must notify us immediately of any unauthorized use of your account.
One person or entity may not maintain more than one account per organization without prior approval.
You must be at least 18 years old to use the Service.

3. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws.
Attempt to gain unauthorized access to the Service, other accounts, or computer systems.
Interfere with or disrupt the Service or servers connected to the Service.
Upload malicious code, viruses, or harmful data.
Reverse engineer, decompile, or disassemble any aspect of the Service.
Use the Service to store or transmit infringing, defamatory, or unlawful material.
Resell, sublicense, or redistribute access to the Service without our written consent.

4. Data Ownership

Your Data: You retain all ownership rights to the data you upload, enter, or generate through the Service ("Customer Data"). We do not claim any ownership interest in Customer Data.
Our Service: We retain all rights, title, and interest in the Service, including its software, design, features, and documentation.
License to Us: You grant us a limited, non-exclusive license to process and store Customer Data solely for the purpose of providing the Service to you.
Data Export: You may export your data at any time using the built-in export features (Excel, CSV). Upon termination, we will make your data available for export for 30 days.

5. Subscription and Payment

The Service is offered on a monthly subscription basis. Pricing tiers are based on organization size (number of resources).
Subscription fees are billed monthly in advance. All fees are non-refundable except as required by applicable law.
We may change pricing with 30 days' written notice. Continued use after the price change constitutes acceptance.
We reserve the right to suspend access for overdue payments after 15 days' notice.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
We do not offer formal Service Level Agreements (SLAs) at this time.
Scheduled maintenance will be communicated in advance when possible.
We are not liable for any downtime or data loss resulting from circumstances beyond our reasonable control, including but not limited to failures of third-party infrastructure providers.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEWBED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.
These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).

9. Indemnification

You agree to indemnify, defend, and hold harmless Kewbed and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or violation of these Terms.

10. Termination

Either party may terminate the subscription at any time by providing written notice. Termination takes effect at the end of the current billing period.
We may suspend or terminate your access immediately if you violate these Terms.
Upon termination, your right to access the Service ceases. Customer Data will be available for export for 30 days after termination, after which it may be permanently deleted.
Sections 4, 8, 9, and 12 survive termination.

11. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 15 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising out of these Terms shall be resolved exclusively in the courts of competent jurisdiction in the judicial district of Montreal, Quebec.
Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for a period of 30 days.

13. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kewbed regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of future enforcement.
Assignment: You may not assign or transfer your rights under these Terms without our prior written consent.
